Corporate Counsel

Major, Lindsey & Africa has been exclusively retained to conduct a search for a Corporate Counsel for OpenGate Capital Management to be located in Los Angeles, CA.

Overview:  This position will handle a variety of general corporate and transactional work for OpenGate and on behalf of Opengate’s numerous portfolio companies located in the U.S. and abroad. This position will have exposure to a variety of commercial transactional work, especially in the operations space; including but not limited to vendor/vendee contracts, purchase and service agreements, supply agreements, compliance and regulatory matters, compensation matters and executive employment agreements. This person will also be responsible for the issuance and administration of management equity grants for the various portfolio companies and for all corporate governance matters for U.S. portfolio companies and supervision of governance matters for foreign portfolio companies. This candidate will report to the General Counsel and potentially work closely with OpenGate’s M&A and Operations teams, as well as c-suite executives at OpenGate’s portfolio companies.

Experience:  A minimum of practicing 3 years in a sophisticated transactional department of a law firm along with some corporate governance experience. Valid license to practice law in California and in good standing with California State Bar Association.
