The Transactional Attorney - Equity Capital Markets will provide counsel to Fidelity Asset Management in relation to the legal and regulatory issues associated with participation in equity capital markets transactions on behalf of Fidelity’s funds and clients. Provide all aspects of legal support to new capital markets transactions and the support and maintenance of existing private equity investments held by Fidelity funds.
You will play an important role in advising Fidelity Asset Management senior leaders and investment professionals. You will also have a highly visible role as a member of the Fidelity Legal Department. Your role will be critical to the smooth running of Fidelity’s Equity Capital Markets team, in support of Fidelity’s mutual funds and other clients. You will work closely with a dynamic, highly skilled, and collaborative group of investment professionals.

The Value You Deliver
You will be a key member and contributor to Fidelity Asset Management Legal Department’s Global Equity Portfolio Investments team. You will work alongside a small legal team of equity capital markets’ attorneys located in Boston, London and Hong Kong. This team works together to support the Fidelity Equity Capital Markets investment team in respect of a broad portfolio of private equity investments held across the Fidelity funds.
You will operate autonomously with portfolio managers and senior investment staff and other senior members of the equity trading and middle and back office teams.
You will have responsibility for negotiating a range of documentation relating to private equity investments including, NDAs, purchase agreements, shareholder agreements, rights agreements, confirms, lockup agreements and other documentation relating to public listings or mergers / acquisitions.
You will provide legal counsel and other strategic advice on structural and operational matters relating to the broad portfolio of private equity investments, including advice in respect of valuation and matters relating to the purchase and settlement of private equity investments.
You will provide legal counsel and support on private company corporate actions and serve as the primary point of contact for Fidelity’s Corporate Actions and Investment Proxy Research teams.
In collaboration with other members of the Fidelity AM Legal team, you will work closely with Asset Management Compliance to resolve compliance issues associated with ECM transactions.
The Expertise You Have
Minimum 10 years as a practicing attorney; with eight years’ relevant experience.
Deep knowledge of the Securities Act of 1933 and Securities Exchange Act of 1934 required.
Familiarity with the Investment Company Act of 1940 and Investment Advisers Act of 1940 a plus.
Strong contract review and negotiation skills required.
Strong academic background.
