Service Line Overview
KPMG Deal Strategy team helps companies identify and deliver real value from major deals, including acquisitions and divestitures, that have lasting impacts on the future of their business. We support our clients during all stages of the deal cycle, including pre-acquisition commercial due diligence, operational due diligence, carve-out assistance, post-merger integration and other value creation opportunities. We help executive teams, management, and stakeholders to assess the impacts of a deal and develop thorough, strategies and executable plans that ensure the strategic rationale of the deal is delivered. We work with clients in the financial services industry, from fintech to insurance companies, banks to asset managers and securities brokers to crypto-currency exchanges in the Asia Pacific region.
KPMG Deal Strategy provides various types of buy-side and sell-side deal advisory support throughout the deal cycle:
Integration/separation planning and execution
M&A (buy-side, sell-side) operational and commercial due diligence and synergy cases
Value creation opportunity identification, analysis and realisation

Key Responsibilities
Integration
Support pre deal due diligence and provide strategic advice to Executives on Integration Risk
Help set up and manage an Integration Management Office
Develop a target operating model to outline how the merged company will operate post transaction
Assist the client to develop detailed integration plans
Offer change management support and advice
Separation
Support sell side due diligence
Help develop the operating model for the separated business and remaining business
Actively participate in negotiating key transaction commercial terms
Assist with drafting deal documents
Develop detailed separation plans
Set up and manage a Separation Management Office
Commercial, Operational due diligence and other value creation opportunities
Assess markets, segmentations and overall attractiveness, including estimating size and projected growth
Review the regulatory landscape and assess the strengths and weaknesses of competitors
Identify synergy initiatives and/or review synergy plans presented by management during merger transactions
Estimate additional costs required for the carved-out entity to operate as a standalone business in a carve-out transaction
Identify operational risks and upsides associated with a transaction
In a post-deal scenario, assist clients with synergy or cost savings tracking, planning, and initial execution
Support the identification, analysis and delivery of value-creation opportunities through the development of extensive models rooted in financial and non-financial data
Perform industry research, produce benchmarks, and collect financial and operational KPIs to leverage external insights and challenge performance
Experience & Background
Strong interest in M&A and financial services
1 - 2+ years of professional working experience with exposure to mergers & acquisitions and due diligence in a consulting, professional service, investment banking, private equity or corporate environment
Previous experience in planning and/or implementing business performance improvement initiatives in an operational, financial, engineering or strategy role is considered a plus
Ability to interpret financial statements and evaluate financial performance of a business through analysis
Relevant professional designations or graduate degrees viewed favourably (i.e. CFA, CPA, CBV, MBA, or M.Fin)
Strong analytical, financial and commercial skills
Good time management skills
Good written and verbal presentation and communication skills
A team player with high levels of enthusiasm and a self-driven mentality
Ability to perform under pressure
Proficient in Microsoft Excel, PowerPoint, Access and Word. Other advanced analytics skills are also a differentiator (Python, Power BI, SQL, etc)
Proficiency in English. Written and spoken Mandarin is preferred (but not a requirement)

Demonstrated experience working with senior management/managing multiple stakeholders
Proven analytical and problem-solving skills, and comfortable working with incomplete information and ability to make intelligent assumptions to produce high level estimates
Organizational and prioritization skills; ability to work independently, and manage priorities in a fast-paced environment often with multiple or competing deadlines
Willingness to challenge, question and investigate facts, which is a key part of the due diligence process
A motivated self-starter with a high level of attention to detail
